Board finalizes proposed amendments to governing documents

At a special meeting on Monday, October 28, 2024, the Board of Directors approved proposed amendments to the Homeowners Association's Articles of Incorporation, Bylaws, and Declaration of Covenants, Conditions and Restrictions. The vote was based on the previously drafted documents, which were posted on this website. Those documents were based on a group of former Board members' input, a focus group's input, and other Board discussions.

The initial proposed amendments were then discussed at two Town Hall meetings at which Homeowners were able to ask questions and submit comments about them. Additional questions or comments were subsequently submitted via email, phone calls, text, and in-person meetings with a few members of the Board.

The final proposed documents, with amendments recommended by the Board, can be found in this post. These are in the editing format, showing the original language, with proposed additions underlined and proposed deletions indicated by strike-throughs. Most of the additions are in blue and the strike-throughs are in red, and these changed were made by our attorney and Board members.

To help with understanding the changes, summaries of all three documents were also previously posted on this website. Based on the Board's final proposals, revised Summaries are now also available.

As a reminder, the vote on the amendments will take place at a Special Meeting of Homeowners immediately following the Annual Meeting on December 10. The package you will be receiving in the mail this week will contain an Absentee Ballot for voting on the proposed Amendments if you are not able to attend the December 10 meeting, and a Ballot you can use to vote if you will be at that meeting. The Proxy document is for other business, including election of two directors to the Board, that will occur during the New Business portion of  the Annual Meeting that same night. These forms will be posted to this website later this week.

Absentee Ballots for the amendments and the Proxy forms can be submitted in advance of the meetings, starting Saturday, November 9, at the Clubhouse from 9:00-11:00 a.m.  Passage of the amendments will require 75% of our Homeowners to approve them, so it is critically important that you submit either an Absentee Ballot in advance or you attend the meeting in person on December 10. If you submit an Absentee Ballot in advance, but then are able to attend the meeting, your Absentee Ballot can be returned to you.
